Dhaiban Terms and Conditions

Welcome to Dhaiban! These Terms and Conditions ("Terms") govern your access to and use of Dhaiban's online shopping and trade platform, including our website and mobile application ("Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.

1. Definitions:

"Platform" refers to Dhaiban, including its website and mobile application.
"User" refers to any individual or entity accessing or using the Platform.
"Merchant" refers to any individual or business entity that lists and sells products on the Platform.
"Customer" refers to any user who purchases products through the Platform.
"Product" refers to any item listed for sale by Merchants on the Platform.

2. Account Registration:

Eligibility: To use certain features of the Platform, you must register for an account. You must be at least 18 years old and provide accurate, complete, and current information during the registration process.
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.

3. Use of the Platform:

License: Dhaiban grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for personal and commercial purposes in accordance with these Terms.
Prohibited Conduct: You agree not to:
- Violate any applicable laws or regulations.
- Use the Platform for any fraudulent or unlawful purposes.
- Interfere with or disrupt the operation of the Platform.
- Upload or distribute any malicious software or content.
- Attempt to gain unauthorized access to the Platform or its systems.

4. Product Listings and Purchases:

Product Listings: Merchants are responsible for ensuring that their product listings are accurate, complete, and not misleading. Dhaiban does not endorse or guarantee the quality or safety of any products listed on the Platform.
Purchases: When you purchase a product through the Platform, you enter into a contract with the Merchant. Dhaiban is not a party to this contract but facilitates the transaction between you and the Merchant.
Payments: All payments are processed securely through the Platform. Dhaiban may charge transaction fees as outlined in our fee schedule.

5. Shipping and Delivery:

Shipping: Merchants are responsible for shipping products to Customers. Shipping times and methods vary depending on the Merchant and the product.
Delivery: Dhaiban is not responsible for any delays or issues with delivery. If you encounter any problems, please contact the Merchant directly.

6. Returns and Refunds:

Returns: Customers may return products in accordance with the Merchant's return policy. Each Merchant sets their own return policy, which should be clearly stated on the product listing.
Refunds: Refunds are processed by the Merchant. Dhaiban may assist in facilitating the refund process but is not responsible for issuing refunds.

7. Intellectual Property:

Ownership: All intellectual property rights in the Platform and its content are owned by Dhaiban or its licensors. You may not use, reproduce, or distribute any content from the Platform without our prior written permission.
User Content: By submitting content to the Platform, you grant Dhaiban a non-exclusive, royalty-free, perpetual, and worldwide license to use, reproduce, modify, and display such content.

8. Privacy:

Privacy Policy: Your use of the Platform is subject to our Privacy Policy, which outlines how we collect, use, and protect your personal information. By using the Platform, you consent to the practices described in the Privacy Policy.

9. Limitation of Liability:

Indirect Damages: Dhaiban shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Platform.
Total Liability: Dhaiban's total liability to you for any claims arising out of or in connection with these Terms or the Platform shall not exceed the total amount paid by you to Dhaiban in the three months preceding the claim.

10. Indemnification:

Indemnity: You agree to indemnify, defend, and hold harmless Dhaiban and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Platform or violation of these Terms.

11. Termination:

Termination by User: You may terminate your account at any time by contacting us. Termination will not affect any outstanding obligations or liabilities.
Termination by Dhaiban: Dhaiban may terminate or suspend your account or access to the Platform at any time, with or without cause or notice, for any reason, including if we believe you have violated these Terms.

12. Governing Law and Dispute Resolution:

Governing Law: These Terms shall be governed by and construed in accordance with the laws of Rwanda.
Dispute Resolution: Any disputes arising out of or in connection with these Terms shall be resolved through amicable negotiation. If a resolution cannot be reached, the dispute shall be submitted to arbitration in Kigali, Rwanda.

13. Miscellaneous:

Amendments: Dhaiban reserves the right to amend these Terms at any time by providing written notice to you. Continued use of the Platform constitutes acceptance of the amended terms.
Entire Agreement: These Terms constitute the entire agreement between you and Dhaiban and supersede all prior agreements and understandings, whether written or oral.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
